When certainty matters more than cost

When a business is racing to close an acquisition or settle a transaction by a fixed date, the question that keeps management awake at night is rarely "what is the rate?" It is the simpler, sharper one: will the money be there, on time?

The cost of a deal that doesn't close

A headline interest rate is a known, manageable number. The cost of uncertainty is not. A financing that arrives late — or arrives with conditions no one flagged at the outset — can mean a lost acquisition, a re-traded price, or a relationship damaged at exactly the moment it mattered most. Measured against that, a difference of a few points on the cost of capital can look like a rounding error.

What "certainty" actually means

Certainty is more than a term sheet. In practice it means a lender backed by committed capital, a credit team that has done the work to understand the situation rather than force it into a box, a decision-maker who is close to the deal, and a realistic timetable that is then held to. It means hearing "no" early if the answer is no — and "yes" with conviction when it is yes.
